ACCEPTANCE OF TERMS

1. The Scheme Terms and Conditions, as amended by these Farm Source Rewards Scheme Brown Bag CMR Promotion Terms and Conditions (the "Promotion Terms and Conditions"), apply in relation to participation in the Promotion. Any participation in the Promotion shall constitute acceptance of the Promotion Terms and Conditions. In the event of any inconsistency between any provision of the Scheme Terms and Conditions and these Promotion Terms and Conditions, the provision in these Promotion Terms and Conditions shall prevail.

2. The current version of these Promotion Terms and Conditions will be maintained on the Farm Source Website. While Farm Source will use reasonable endeavours to notify you of any change to the Promotion Terms and Conditions before that change takes effect by direct communication to your last known address, by advertisement in news media or by displaying the change in Farm Source retail outlets or on the Farm Source Website homepage, Farm Source recommends that you review these Promotion Terms and Conditions from time to time for changes. Members who continue to participate in the Promotion following such a change will be considered to have accepted the updated Promotion Terms and Conditions.

THE OFFER

3. These Promotion Terms and Conditions apply to the purchase of Promotional Products in Farm Source stores and online through the Farm Source Website between 13 September and 31 October 2016 ("Promotion Period") or while stocks last.

4. The offer includes Promotional Eligible Spend Dollars and the option to finance purchases of $500 or more of Promotional Products (including GST) interest free for 6 months.

5. The interest free option and payment frequency must be confirmed by you at the time of purchase and payments may either be made in equal instalments or deferred for payment for 6 months, with all deferrals appearing on the statement for payment on the month prior to due date (6 months from purchase).

6. Farm Source credit criteria must be met to qualify, and Farm Source Account Terms and Conditions apply.

7. Customers agree in the event instalments are not received on the due dates or full payment not made at the end of the interest free period (6 months from purchase), overdue interest rates will apply. Farm Source interest rates can be found through the Farm Source Website.

PROMOTION PARTICIPATION

8. To participate in the Promotion you must be a Fonterra Supplier and Member of the Scheme.

9. Members will be entitled to accumulate Promotional Eligible Spend Dollars when purchasing the Promotional Product at the fixed Fonterra Supplier bag price of $55.49 (GST inclusive) at a rate of F$5 per 20kg bag of NZAgbiz Brown Bag Calf Milk Replacer (CMR) in Farm Source stores, including through the Farm Source Website during the Promotion Period only. For the avoidance of doubt, this entitlement shall apply in substitution for the entitlement to receive Eligible Spend Dollars pursuant to the Scheme Terms and Conditions. All information concerning earn rates and product weightings is available on the Farm Source Website. Suppliers will receive no Farm Source Dollars on purchases transacted below the promotional retail price of $55.49 (GST Inclusive).

10. Promotional Eligible Spend Dollars will not be calculated on any services charges incurred from the supply of goods, such as freight, packaging, storage charges, handling, levies, labour, workshop parts and any other third party charges.

GENERAL

11. Farm Source reserves the right to change these Promotion Terms and Conditions, at any time, on reasonable notice for legal, regulatory, business or policy reasons. Members who continue to participate in the Promotion following such a change will be considered to have accepted the updated Promotion Terms and Conditions.

12. The Promotion Terms and Conditions (together with the Scheme Terms and Conditions) supersede all previous conditions, understandings, commitments, agreements and representations whatsoever whether oral or written, and constitute the entire agreement, between the parties, relating to the subject matter of these Promotion Terms and Conditions.

13. A person who is not a party to these Promotion Terms and Conditions shall have no right under the Contract (Privacy) Act 1982 to enforce any term of these Promotion Terms and Conditions, but this shall not affect any right or remedy of a third party which exists or is available apart from that Act.

14. If Farm Source does not exercise or enforce any right available to it under these Promotion Terms and Conditions, it does not constitute a waiver of those rights.

15. These Promotion Terms and Conditions are governed by the laws of New Zealand. You submit to the non-exclusive jurisdiction of the Courts of New Zealand.

16. In these Promotion Terms and Conditions:

a) "Farm Source" means RD1 Limited, trading as Farm Source.

b) "Farm Source Website" means www.nzfarmsource.co.nz.

c) "Promotion" means the promotion in relation to the Promotional Products, as further described in these Promotion Terms and Conditions.

d) "Promotion Period" means the period from 13 September 2016 to 31 October 2016.

e) "Promotional Product" means listed NZAgbiz Brown Bag 20kg bag CMR products at the Fonterra supplier fixed price only.

f) "Promotional Eligible Spend Dollars" means for every Brown Bag 20kg bag purchased Farm Source members will earn F$5.

g) "Scheme Terms and Conditions" means the Farm Source Rewards Scheme Terms and Conditions that apply to the Scheme, which are available online through the Farm Source Website, as amended from time to time.

Capitalised terms which are not defined in these Promotion Terms and Conditions have the meaning given to those terms in the Scheme Terms and Conditions.
